Terms of Service

These Terms of Service (the “Terms”) govern your use of the ZWhispr macOS application, the zwhispr.com website, and the related services (together, the “Service”) provided by ZWhispr (“we”, “us”). By downloading, installing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ZWhispr is dictation software for macOS. When you hold the hotkey and speak, the app records audio, sends it to third-party speech recognition providers, merges their results, and types the resulting text at your cursor. Optional features include reading text from your active window to improve recognition (“screen context”) and a personal dictionary.

2. Accounts and eligibility

You must be at least 18 years old, or the age of majority where you live, to purchase a subscription. You are responsible for keeping your account credentials and the device you use with the Service secure, and for all activity under your account.

3. Subscriptions and payment

ZWhispr is offered as a monthly subscription. Payments are processed by our merchant of record, Paddle.com Market Ltd and its affiliates (“Paddle”). When you subscribe you also agree to Paddle’s Buyer Terms. Paddle handles billing, invoices, applicable taxes, and payment support.

Your subscription renews automatically each month at the then-current price until you cancel. You can cancel at any time from the billing portal linked in your receipt or by contacting us; cancellation takes effect at the end of the current billing period. Refunds are governed by our Refund Policy.

We may change the subscription price. We will give you at least 30 days’ notice by email before a price change takes effect on your next renewal.

4. Acceptable use

You agree not to: use the Service to record people without the consent required by applicable law; attempt to reverse engineer, circumvent licensing or subscription checks, or extract API credentials from the app; resell or share your subscription; use the Service in a way that is unlawful, abusive, or that interferes with the Service or its providers; or submit content that infringes the rights of others.

5. Third-party providers

To transcribe your speech, the Service sends your audio and, if you enable it, words extracted from your screen to third-party speech recognition providers. Providers may change over time. We select providers that process this data solely to return a transcription to us. Our Privacy Policy describes this in more detail.

6. Your content

You own the audio you record and the text the Service produces for you. You grant us only the limited rights needed to operate the Service, such as transmitting your audio to providers and returning the transcript to you. We do not store your transcripts or screen context, and we do not use them to train models.

7. Intellectual property

The Service, including the app, website, branding, and design, is owned by ZWhispr and protected by intellectual property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the app on Macs you own or control for as long as your subscription is active and you comply with these Terms.

8. Availability and changes

We work to keep the Service available and accurate, but speech recognition is not perfect and the Service depends on third-party providers and network connectivity. We may modify, suspend, or discontinue features, including changing which speech models are used, at any time. If we discontinue the Service entirely, we will refund any prepaid, unused portion of your subscription.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. You are responsible for reviewing text produced by the Service before relying on it or sending it.

10. Limitation of liability

To the fullest extent permitted by law, ZWhispr will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose. Nothing in these Terms limits rights that consumer protection law does not allow to be limited.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms. Sections that by their nature should survive termination, including ownership, disclaimers, and limitation of liability, will survive.

12. Changes to these Terms

We may update these Terms from time to time. If a change is material we will notify you by email or in the app before it takes effect. Continued use of the Service after the change takes effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which ZWhispr is established, without regard to conflict-of-law rules, and disputes will be resolved in the courts of that jurisdiction, except where mandatory consumer law gives you the right to bring a claim where you live.
